Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the services provided by Ahava Global Consulting ("Company," "we," "our," or "us"), including our website at www.ahavaglobal.co.tz and all HR consulting services we offer.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Service Engagement

Consultation Process

All service engagements begin with an initial consultation to understand your organization's needs. Following the consultation, we will provide a detailed proposal outlining the scope of work, deliverables, timeline, and fees.

Service Agreements

Upon acceptance of our proposal, a formal Service Agreement will be executed between Ahava Global Consulting and the client organization. This agreement will detail specific terms, conditions, and expectations for the engagement.

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Designate a point of contact for communication
• Respond to requests for information in a timely manner
• Make payments according to agreed terms
• Comply with all applicable Tanzanian labor laws

Fees and Payment

Service Fees

Fees for our services will be outlined in the proposal or Service Agreement. We reserve the right to adjust our fees with reasonable notice. All fees are quoted in Tanzanian Shillings (TZS) or United States Dollars (USD) unless otherwise specified.

Payment Terms

• Payment terms will be specified in the Service Agreement
• For project-based work, a deposit may be required before commencement
• Invoices are due within 14 days unless otherwise agreed
• Late payments may incur interest at 2% per month

Refund Policy

Refunds will be considered on a case-by-case basis. For training programs, cancellations made at least 7 days before the scheduled date may be eligible for a full refund or rescheduling.

Recruitment Services

For Employers

• Recruitment fees are based on a percentage of the candidate's first-year salary or a fixed fee as agreed
• A replacement guarantee period will be specified in the Service Agreement
• Clients must not directly hire candidates presented by us without going through our placement process

For Candidates

• Our recruitment services are free for job seekers
• We will only share your information with prospective employers with your consent
• We do not guarantee employment placement
• Candidates must provide accurate information in their applications

Training & Workshops

• Training programs are subject to minimum participant requirements
• We reserve the right to reschedule or cancel programs due to insufficient enrollment
• Training materials are provided for participant use only and may not be reproduced
• Certificates of completion will be issued upon successful participation
• Customized training content remains the intellectual property of Ahava Global Consulting

Confidentiality

We understand the sensitive nature of HR information. Both parties agree to:

• Maintain strict confidentiality of all proprietary and sensitive information
• Use confidential information only for the purposes of the engagement
• Not disclose confidential information to third parties without prior written consent
• Return or destroy confidential materials upon termination of the engagement

Confidentiality obligations survive the termination of the Service Agreement for a period of 3 years.

Intellectual Property

All materials, methodologies, templates, and tools developed by Ahava Global Consulting remain our intellectual property. Clients receive a license to use deliverables for their internal purposes only.

Clients may not reproduce, distribute, or sell our materials without express written permission.

Limitation of Liability

To the maximum extent permitted by Tanzanian law:

• Our services are provided on an advisory basis, and final decisions rest with the client
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid for the specific service in question
• We do not guarantee specific outcomes from our recommendations
• Clients are responsible for ensuring compliance with all applicable laws

Termination

By Either Party

Either party may terminate the engagement with 30 days' written notice, unless otherwise specified in the Service Agreement.

For Cause

We reserve the right to terminate services immediately if the client breaches these Terms, fails to make payment, or engages in conduct that is harmful to our reputation or operations.

Effect of Termination

Upon termination, the client shall pay for all services rendered up to the termination date. Confidentiality and intellectual property provisions survive termination.

Website Use

When using our website, you agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Transmit malicious code or interfere with website functionality
• Scrape or harvest data without permission
• Impersonate any person or entity

Dispute Resolution

In the event of any dispute arising from these Terms or our services:

1. The parties shall first attempt to resolve the dispute through good faith negotiation
2. If negotiation fails, the dispute shall be referred to mediation
3. If mediation fails, the dispute shall be resolved through arbitration in accordance with Tanzanian law

These Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania.

Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
